Ownership of completed commissioned deliverables transfers to the client only after the project invoice is settled in full. Until final payment clears, all intellectual property, bespoke assets, and working files remain the property of Xylora Groups LTD.
Transfer of rights upon payment
Under UK intellectual property law and our contractual terms, the creator of a work retains the copyright until a formal transfer or licence takes place. At Xylora Studios, this transfer is conditional on financial completion.
When you commission a project—whether through a fixed package or a bespoke quote—the agreement specifies the deliverables you are purchasing. Once the final invoice is paid and funds have cleared in the studio's accounts, Xylora Groups LTD assigns the agreed usage rights or full intellectual property ownership of the agreed deliverables to you. Deposits are non-refundable once your production slot is held. Before work begins, sums not yet earned are refunded pro rata; after work begins, completed work and booked time are charged. Defects are fixed free of charge within the acceptance window. The full terms are on the Refund Policy page of the main site.
Deliverables versus proprietary tooling
Not every file generated during a commission is eligible for transfer. The distinction between client deliverables and retained studio tooling breaks down by department:
* Creative department assets: The transferred property includes the final exported deliverables specified in your statement of work (for example, final vector brand marks, flattened digital artwork, or rendered motion graphics). Raw working files, unselected design directions, conceptual sketches, and proprietary project templates remain studio property unless an open-file licence is explicitly quoted and purchased. * Technology department code: Bespoke application code written expressly for your project transfers upon final settlement. Underlying studio boilerplates, internal deployment scripts, proprietary libraries, and pre-existing frameworks remain the intellectual property of Xylora Groups LTD. You receive an irrevocable, non-exclusive licence to run and maintain the compiled code for its intended purpose. * Operations & Client Services documentation: Project management briefs, operational notes, discovery recordings, and estimation spreadsheets remain internal studio documentation and are not deliverables.
Handover sequence
Intellectual property does not transfer automatically upon delivery of draft files for review. The release sequence operates as follows:
1. Deliverable sign-off: You approve the final iteration through the portal during operational hours (Monday to Thursday, 09:00–17:00 GMT). 2. Final billing: Operations & Client Services issues the closing invoice. If you entered via the ambassador programme, your 10–30% referral discount will already be reflected on this quote and final billing line. 3. Payment clearance: You clear the outstanding balance. Payment processing times depend on your banking method. 4. Asset release: Within 24 hours of funds clearing during our working week, the studio releases high-resolution assets, production code repositories, or production credentials via the client portal. 5. Right of attribution: Following handover, Xylora Studios retains the perpetual right to display the final work in portfolios, case studies, and studio archives, unless an explicit non-disclosure agreement was executed prior to project kickoff.
Third-party assets and client materials
You are responsible for the legal clearance of any materials you provide to the studio. If you supply imagery, typefaces, proprietary data, or third-party code for inclusion in the commission, you must hold the appropriate commercial licences.
Similarly, commercial typefaces, stock photography, or licensed software plugins incorporated by the studio are bound by third-party end-user licence agreements (EULAs). The studio transfers the output, but you may need to purchase an independent end-user seat or desktop licence to use specific proprietary font software or third-party libraries internally.
Failure cases and breach of terms
Deploying or publishing commissioned work before final payment has settled constitutes copyright infringement under UK law. In the event of a dispute or default:
* Unsettled balances: If work is published or deployed prior to final payment, the studio reserves the right to issue takedown notices to web hosts, domain registrars, or platforms hosting the material. * Abandoned projects: If a client becomes unresponsive for more than 14 calendar days during final sign-off, work halts. Retained deposits are non-refundable, and no ownership rights transfer until communication is restored and billing is resolved. * Unapproved concepts: Any rejected concept presented during the creative or technical sprint remains studio property. Clients may not use rejected concepts, even if they have settled the invoice for the chosen direction.
Ownership release checklist
Ensure the following criteria are met before deploying your project assets commercially:
* Written sign-off has been logged on the portal for all final deliverables. * Final invoice has been paid in full, with payment confirmed by Operations & Client Services. * Independent licences have been acquired for any proprietary fonts or stock requiring direct client licensing. * Source code repositories have been cloned or transferred to client-controlled infrastructure. * Confirmation of receipt has been sent via Ask Xylo chat.
