force-majeurecontracts

Standard FM clause covering events outside reasonable control. Project pauses for the FM duration, fees pro-rated, no penalty on either side.

What FM covers

Standard force-majeure covers events outside the reasonable control of either party, including:

  • Natural disasters, severe weather, geological events
  • War, civil disorder, government emergency orders
  • Long-running utility, internet, or cloud-provider outages
  • Pandemic-related restrictions issued by government
  • Death or long-term serious illness of key personnel on either side

What happens during FM

  • The project pauses for the duration of the FM event
  • Fees are pro-rated to work actually completed
  • Neither side owes a penalty for the pause itself
  • Either side may terminate if FM persists beyond 90 consecutive days

What FM does not cover

  • Capacity shortfalls because of routine commercial choices
  • A team member leaving (we backfill)
  • Late delivery from a vendor you contracted directly
  • "Market conditions" or "internal restructuring"
