Xylora Studios executes mutual non-disclosure agreements before reviewing proprietary project assets, confidential product roadmaps, or sensitive codebases for bespoke quoting.
The process is managed directly by Operations & Client Services within standard studio operating hours prior to detailed technical scoping or brief assessment.
When an NDA is necessary
Most initial inquiries and standard assignments do not require a non-disclosure agreement. Fixed-scope creative and digital solutions are catalogued on the packages page, where project parameters and requirements are already standardised.
An NDA is appropriate when bespoke technical architectures, unreleased commercial intellectual property, proprietary software logic, or sensitive financial data must be assessed to produce an accurate estimate. If an initial brief can be framed functionally without disclosing confidential trade secrets, we recommend doing so. However, if sharing proprietary materials is essential to determine project viability, an agreement must be executed before files or code repositories are submitted.
The execution workflow: step by step
1. Initiate via Ask Xylo: Open a conversation through the Ask Xylo chat on this portal. State clearly that your upcoming brief requires an NDA before documentation can be shared. Indicate whether you want to use the studio's standard mutual NDA or propose your own organisation's draft. 2. Review by Operations & Client Services: Our Operations & Client Services team handles all legal agreements during studio operating hours: Monday to Thursday, 09:00 to 17:00 GMT. Our first reply target is within 24 hours. If client paper is submitted, our team reviews terms for alignment with UK company law and standard studio operations. 3. Countersignature: Once wording is finalised, the agreement is executed digitally on behalf of Xylora Groups LTD (operating since 2022) and returned to your authorised signatory. 4. Brief submission: With the fully signed document securely logged, you can upload your technical documentation, wireframes, or source files directly via the portal. 5. Scoping and estimate: Once a complete brief is received under NDA, our Technology or Creative departments assess the specification. Bespoke quotes are delivered within 48 hours of receiving a complete brief.
What you must supply
To prevent administrative delays during the review phase, ensure your initial communication includes the following operational details:
- The full registered legal entity name, company registration number, and registered office address.
- The legal jurisdiction governing the company.
- The full name, business title, and contact details of the authorised signatory.
- A clean, editable copy of your proposed agreement (DOCX format) if you are requesting that we sign your internal paper.
- A brief, high-level summary of the domain being disclosed (for example, backend infrastructure documentation, unreleased branding assets, or algorithmic specifications).
Terms, boundaries, and failure cases
Agreements must fit studio operational realities to avoid delays or outright rejection:
- Mutual agreements only: We execute mutual NDAs so both parties remain protected. Unilateral agreements that impose one-sided obligations exclusively on the studio are not accepted.
- No disguised non-compete clauses: An NDA exists purely to protect confidential information. Clauses attempting to restrict Xylora Studios from working with clients in specific industry sectors, or preventing our Technology and Creative teams from deploying common design frameworks and software architectural patterns, will be struck out immediately.
- Premature disclosure: Do not attach secret credentials, confidential PDFs, or proprietary code to the initial message in Ask Xylo. Any materials transmitted prior to a countersigned agreement are not covered retrospectively.
- Operating hours schedule: Our team operates Monday to Thursday, 09:00 to 17:00 GMT. Submissions made late on Thursday or over the weekend will be queued for review on the following Monday morning.
Pre-quote NDA checklist
Before initiating an agreement request, confirm that you have completed the following steps:
- [ ] Confirmed that the work requires a bespoke quote and is not covered on the packages page.
- [ ] Verified that project scoping strictly requires disclosing proprietary or sensitive materials.
- [ ] Gathered your company's full legal name, registration details, and designated signatory credentials.
- [ ] Prepared editable agreement files if you intend to use your own legal document.
- [ ] Opened an inquiry ticket via the Ask Xylo chat on this portal without attaching proprietary assets.
- [ ] Organised your complete project brief so it can be submitted immediately once the NDA is signed, starting the 48-hour quoting window.
