All contracts, statements of work, and service agreements entered into with Xylora Studios (operated by Xylora Groups LTD) are governed by and construed in accordance with the laws of England and Wales.
Any legal proceedings or disputes arising out of or in connection with our services, contractual terms, or invoices fall under the exclusive jurisdiction of the courts of England and Wales.
Applicable legal framework
Xylora Groups LTD has operated in the United Kingdom since 2022. Because the studio is incorporated and based in the UK, English commercial law provides the baseline for every engagement. This applies equally to domestic clients and international clients commissioning work from abroad.
Our legal terms govern all stages of the working relationship, including bespoke statements of work, fixed-scope projects selected via the packages page, and ongoing retainer arrangements. Deposits are non-refundable once your production slot is held. Before work begins, sums not yet earned are refunded pro rata; after work begins, completed work and booked time are charged. Defects are fixed free of charge within the acceptance window. The full terms are on the Refund Policy page of the main site. Where client terms conflict with our standard governing terms, our accepted statement of work takes legal precedence unless an explicit variation has been signed off in writing by studio management.
How jurisdiction is established
Contract formation follows a structured sequence managed through Operations & Client Services:
1. Brief submission: The client provides project requirements. Technology and Creative teams assess scope during our working hours (Monday to Thursday, 09:00-17:00 GMT). 2. Proposal and quotation: For bespoke requests, we deliver a formal quote within 48 hours of receiving a complete brief. For standard packages, pricing is drawn directly from the packages page. If a referral discount applies, the 10-30% reduction is documented directly on the quote, tied to our ambassador programme. 3. Review and execution: The client receives a proposal detailing deliverables, timelines, milestones, and standard terms. The governing law clause is incorporated by reference or stated explicitly within the document. 4. Deposit and activation: Work begins only after the client accepts the written statement of work and clears the non-refundable commencement deposit. Acceptance confirms agreement to the governing law of England and Wales.
Overseas clients and cross-border provisions
A significant portion of our commissions comes from outside the United Kingdom. Operating internationally does not alter the governing jurisdiction.
If your organisation is based in the European Union, North America, or elsewhere, the contract remains subject to English law. Local commercial codes, state-level consumer statutes outside the UK, and foreign trade standard terms do not override the contract unless required by mandatory conflict-of-law rules. Invoicing is issued in GBP unless specifically agreed otherwise, and communications run on GMT schedule during studio operational days.
Clients are responsible for ensuring that engaging a UK supplier complies with their own domestic tax and import regulations. Withholding taxes or local reporting obligations in the client’s territory cannot be deducted from agreed studio fees.
Escalation and dispute procedure
When operational misunderstandings or deliverable disputes occur, they must follow our internal escalation pathway before any formal legal action is considered:
- Informal review: Raise the issue via the Ask Xylo chat on the client portal. Operations & Client Services will log the matter and reply within our 24-hour target during studio working days.
- Departmental assessment: Depending on the issue, the Technology department (for code, systems, and technical execution) or the Creative department (for design assets, branding, and copy) reviews the brief against delivered assets.
- Commercial resolution: If a deadlock occurs, the commercial terms govern.
- Formal litigation: If formal legal proceedings become necessary, claims must be issued in the courts of England and Wales. Initiating legal claims in foreign domestic courts constitutes a breach of the governing law and forum selection clauses, and the studio will seek immediate dismissal and recovery of associated legal costs.
